Partnership / Integration Agreement
Purpose
To set out the terms for integration of BridgingFi’s dBridge, dVault, and related modules with [Partner].
Key Provisions
- Technical Integration: API/SDK access, SLAs for uptime, support, and incident response.
- IP Ownership: BridgingFi retains IP in its modules; Partner retains IP in its own systems. Joint developments subject to separate agreement.
- Compliance: End-user onboarding must meet AML/KYC standards.
- Branding: Joint marketing requires prior written consent.
- Data Usage: Transactional data used solely for integration and compliance.
- Termination: Immediate for breach; post-termination obligations include deletion of confidential data.
- Non-Solicitation: Parties agree not to solicit each other’s staff or clients for 12 months.
- Liability Cap: Each party’s liability limited to the greater of £500,000 or the total fees paid in the prior 12 months.
