# Terms of Use

**1. Introduction**

Welcome to BridgingFi. These Terms of Use (“Terms”) govern your access to and use of our platform and services, including tokenised investments in solicitor-underwritten UK bridging loans and other real-world asset (“RWA”) opportunities.

**2. Eligibility**

You must:

\- Be of legal age in your jurisdiction;

\- Be an institutional or qualified investor, or otherwise meet applicable eligibility criteria;

\- Have passed our Know Your Customer (“KYC”) and Anti-Money Laundering (“AML”) checks.

**3. Nature of Services**

BridgingFi provides access to tokenised RWAs via a non-custodial, modular protocol architecture. All loan products are solicitor-underwritten and secured by first-charge UK property, with collateral recorded on the UK Land Registry and represented on-chain via NFT technology. We do not take custody of your cryptoassets.

**4. User Responsibilities**

\- Maintain secure control of your wallet credentials and private keys;

\- Ensure compliance with applicable laws in your jurisdiction;

\- Rely on independent legal, tax, and financial advice before making investment decisions;

\- Comply with AML/Counter-Terrorist Financing obligations.

**5. No Financial Advice**

Content provided by BridgingFi is for information only and does not constitute financial, investment, tax, or legal advice.

**6. Limitation of Liability**

To the fullest extent permitted by law, BridgingFi shall not be liable for indirect, incidental, consequential, or punitive damages. Our total liability shall not exceed the fees paid by you to BridgingFi in the preceding 12 months.

**7. Indemnity**

You agree to indemnify and hold harmless BridgingFi, its affiliates, and personnel from any claims, damages, losses, and expenses arising from your use of the platform, breach of these Terms, or violation of applicable law.

**8. Jurisdictional Restrictions**

Access is not permitted from jurisdictions where such services are prohibited.

**9. Changes to Terms**

We may update these Terms from time to time with notice. Continued use constitutes acceptance.

**10. Governing Law**

These Terms shall be governed by and construed in accordance with the laws of England and Wales or the laws of the British Virgin Islands, as specified in the onboarding agreement.

**11. Force Majeure**

We are not liable for delays or failures caused by events beyond our reasonable control.
