Institutional Onboarding Agreement

Parties

This Agreement is between BridgingFi [Entity] (“Provider”) and the institutional investor named herein (“Investor”).

Scope

Investor gains access to tokenised, solicitor-underwritten UK bridging loans and other RWA investments.

Key Terms

- Collateral: first-charge UK property, Land Registry recorded, NFT-represented.

- Returns: fixed APY (8–10%), defined lock-up and redemption rights.

- Settlement: BTC-Fi non-custodial settlement layer.

- Representations & Warranties: Investor confirms lawful source of funds, institutional status, and compliance with applicable laws.

- Compliance: Both parties commit to AML, sanctions, and source-of-funds checks.

- Confidentiality: All non-public information remains confidential.

- Default & Remedies: Breach may result in termination and enforcement of rights.

- Governing Law: English law with exclusive jurisdiction of English courts.
